1) ORDERS
Broxburn Browns Ltd (The Seller) will accept orders for the sale of Eggs and other Produce subject to the following terms and conditions: Acceptance of these terms and conditions by The Buyer constitute a legally effective contract. Orders are accepted under reserve and carried out according to availability.
2) PRICE
The price of goods will be agreed between The Seller and The Buyer at the time the order is placed unless a Fixed Price Contract has been entered into.
3) INSPECTION
The Buyer should inspect goods on delivery. Any claims made in respect of the condition, quality or weight of the goods must be notified by The Buyer to The Seller within twenty-four hours of delivery. In any dispute regarding condition, quality or weight of goods delivered the goods in question must be retained by The Buyer for inspection by The Seller.
4) PAYMENT
The price is payable Cash on Delivery unless otherwise agreed via a credit application form. Full payment must be made on or before the Payment Date indicated on the invoice. In case of non-payment or late payment The Seller may withhold the supply of goods to The Buyer until the account of The Buyer has been settled. The Seller may pursue The Buyer legally for payment of overdue invoices and will charge The Buyer for any legal fees incurred. The Buyer will reimburse The Seller for administration costs and Bank Charges incurred by The Seller for any cheques issued by The Buyer which are returned by The Buyer’s Bank.
5) TITLE TO GOODS
Legal title to goods remains with The Seller until The Buyer has paid in full for the goods.
